ATA Bylaws: Article XI


Section 1 - Place of Meeting

Regular or special meetings of voting members shall be held at such locations as shall be determined by the
Board of Directors.

Section 2 - Annual Meetings

A meeting of the voting members shall be held annually at such time and date as shall be determined by the Board of Directors, to fill all expiring terms of directors of the Association, to fill any existing vacancies on the Board of Directors for the remainder of the unexpired terms, and for the transaction of such other business as shall come before the meeting in accordance with procedures adopted by the Board of Directors. At such meeting any vacancies in the positions of President-Elect, Secretary, or Treasurer shall also be filled for the expired term. In odd-numbered years the President-Elect, Secretary, and Treasurer of the Association shall also be elected at such annual meeting. Unless otherwise determined by the Board of Directors, the annual meeting of the voting members shall be held in conjunction with the annual meeting of all members as provided in Article X.

Procedures for Resolutions to be Presented at the Annual Meeting of All Members

    1. Article XI of the Bylaws of the American Translators Association, Inc., charges the Board of Directors to adopt procedures for the transaction of business at the Annual Meeting of Voting Members, which would include the introduction of resolutions.

    2. Voting Members may submit resolutions for consideration at the Annual Meeting of Voting Members to the Board of Directors at least 90 days before the scheduled date of such meeting, in order to allow timely notification to all members of the Association of matters to be considered.

    3. The Board of Directors may submit resolutions to the Annual Meeting of Voting Members at any time provided it allows for timely notification to all members of the Association of the matter to be considered.

    4. The chair of the Annual Meeting of Voting Members will set and announce a time limit for discussion of each resolution and for each individual discussant.
